Port communication新三板市场全称是“全国中小企业股份转让系统”，简称“全国股份转让系统（NEEQ）”。新三板是经国务院批准设立、中国证监会监管下的全国性证券场外市场。新三板的运营机构是“全国中小企业股份转让系统有限责任公司”。2012September 20，公司在国家工商总局注册成立，注册资本30亿元。
上海证券交易所、深圳证券交易所、China Securities Depository and Clearing Co., Ltd.、上海期货交易所、中国金融期货交易所、郑州商品交易所、大连商品交易所为公司股东单位。2001June 12，为解决STAQ、NET数家公司法人股流通的历史遗留问题，证券业协会正式启动代办股份转让工作。
2002August 29，为解决退市公司股份流通问题，退市公司被纳入代办股份转让试点范围。这都被称为“旧三板市场”。为了利用资本市场支持高新技术等创新型企业，2006January，中关村非上市公司股份报价转让启动试点，为中关村高科技企业的股权交易提供服务。
2012September，“全国中小企业股份转让系统有限责任公司”设立，作为全国性场外市场的交易平台和运营管理机构。So far，新三板市场基本形成。2013January 16，National Equities Exchange and Quotations officially launched。2013年6月国务院确定将中小企业股份转让系统试点扩大至全国。标志着新三板市场的发展在我国渐渐成熟。
