什么样的企业可以申请简易注销登记 随着商事制度改革的深化，企业准入门槛降低，“出生证明”好开了，但企业注销的“死亡证明”办起来依然繁琐。

按照现行《 公司法 》规定，无论企业是否有债权债务、是否经营过，注销都得按照程序“慢慢来”：一般需要经过清算组备案、报纸公告、正式注销等手续，程序繁琐复杂、周期又长，来来回回至少需要两个月。 哪些企业可以申请简易注销登记？

凡属于有限责任公司、Unincorporated corporate legal person、sole proprietorship、partnership，在取营业执照后未开展经营活动，或者申请注销登记前未发生债权债务，或者已将债权债务清算完结的，都可以向企业登记机关申请简易注销登记。

有8种情况的企业不适用简易注销程序： 1.涉及国家规定实施准入特别管理措施的外商投资企业； 2.Being included in the list of abnormal business operations or the list of serious illegal and untrustworthy enterprises； 3.存在股权（投资权益）被冻结、Pledge or chattel mortgage, etc.； 4.Are being investigated or subject to administrative compulsion、mutual legal assistance、Being subject to administrative penalties, etc.； 5.The unincorporated branch of the enterprise has not been deregistered； 6.Those who have been terminated from the simplified cancellation procedure； 6.law、Administrative regulations or decisions of the State Council stipulate that approval is required before deregistration.； 7.Other situations in which simple deregistration of enterprises is not applicable。
