那么将公司注册资金设定的过高，如1亿元，然后再将资时间设为40年，50年的方式是否可取呢？ 先看个法条： 《公司法》第三条 公司是企业法人，Have independent legal person property，Enjoy legal person property rights。The company shall be liable for its debts with all of its property。
The shareholders of a limited liability company are liable to the company to the extent of their subscribed capital contributions.;Shareholders of a joint stock company shall bear liability for the company to the extent of the shares they have subscribed for.。 这段话什么意思呢？举个例子。 A和B共同设立了一家公司，为了显示有钱，公司注册资金1个亿，双方分别认缴50%，即5000万。 A是土豪，5000万在公司成立当日直接付款。
B是有志青年，在公司章程中约定50年分期出资，第一年先付1万。 公司成立一年后，破产了，账户上只剩下了1万块，外面刚好还欠了C1个亿，初步实现了负的小目标。 此时债主C该咋整？是不是只能要回1万块？
理论上不是，因为最高人民法院在关于适用《中华人民共和国公司法》若干问题的规定（二）中补刀道： 第二十二条 规定 公司解散时，All unpaid capital contributions from shareholders shall be treated as liquidation property。Shareholders’ unpaid capital contributions，Including capital contributions due and unpaid，and pay in installments the capital contribution that has not yet expired in accordance with the provisions of Articles 26 and 81 of the Company Law.。
When the company's assets are insufficient to pay off debts，Creditors claim unpaid capital contributions from shareholders、以及公司设立时的其他股东或者发起人在未缴纳出资范围内对公司债务承担连带清偿责任的，人民法院应予以支持。 结合我们举的例子来看，A已经履行了的出资是公司财产（虽然已经被花掉了），B未出资的4999万也应是公司的财产，即使B还没有缴纳。
in this case，债主C不仅可以向B索要那4999万欠款，也可以向A索要那4999万的欠款（因为A对B未缴付出资承担连带责任）。 至于A偿还C的

后咋整？他可以再向B进行追偿……不过到底能不能追的过来，就不关债权人C的事了。
So far，我们的结论是：
- 出来混迟早是要还的，无论公司章程约定的出资期限是40年还是50年，总有到期的一天；
- Although it is a limited liability company，但股东有限责任的范围是认缴资金份额，而非仅仅是实际的出资金额。
- 踏踏实实创业，根据公司运作的实际需求以及股东的出资能力设定注册资金，才是最稳妥的办法。
