第一步企业名称预先核准 到工商局领取一张“企业(Font size)Name Pre-Approval Application Form”，填入你准备取的公司名称(一共5个)，工商局会检索是否有重名，如无重名，即可使用并核发“企业(Font size)"Name Pre-Approval Notice"(可以检索5个名称)。

Things to note

：

1. 需填写“名称核准申请书”，注意核准前确定并写明股东的身份证、Investment amount、股份比例等，如核准后需要修改，会有不必要的时间浪费。
2. 名称核准申请书需要全体股东签字。
3. 委托代理，需要有委托代理证明及代理人的身份证原件。

第二步公司场所租赁及租赁合同备案 签订租房合同，并让房屋的产权人提供房产证复印件，到国土资源和房屋管理局(出租屋管理中心)作租赁合同备案，一般是出租方办理(但出租方不去办理就唯有自己去备案 )，备案后会有一个房屋租赁税，再到税务局交税和买租赁合同印花税。

印花税税率是年租金的千分之一，将印花税票贴在合同的首页。

1. 需向出租方了解办公场所的用地性质：如是商住两用，签订租赁合同之前需注意了解出租方能否提供或协助办理《临时经营场所使用证明》。 第三步编写公司章程 可以找人代写，也可以从工商局的网站下载“公司章程”样本，修改后，由所有股东签名。

Things to note

：

2. 办理之前，需刻制全体股东的个人印章(俗称股东章或私章)。
3. 一般银行会在3-5 天后出具余额通知书。

：

1. 为避免将来可能会发生的不必要经济纠纷(例如有不法份子仿刻公章、财务专用章进行诈骗)，official seal、财务专用章需到所属公安局备案。
2. 公安备案过的印章，会有备案回执。
