深圳成立慈善基金Charity fund会条件流程与转让

Conditions for establishing Shenzhen Charity Foundation：

1. Established for specific public welfare purposes;
2. The original fund of a city-wide public foundation shall not be less than RMB 4 million.，The original fund of a non-public foundation shall not be less than RMB 2 million.;The original fund must be the received monetary fund;
3. standardized name、Charter、Organizational structure and dedicated staff appropriate to its activities;
4. Have a fixed residence;
5. Ability to independently bear civil liability。

深圳慈善基金成立必须具备材料：(one)向登记管理机关申请名称核准。申请名称预先核准时需提交下列材料：

1. 《基金会名称预先核准申请表》;
2. 基金会名称预先核准申请书(主要介绍申请者的基本情况、设立基金会的理由以及拟设立基金会的名称、type、Business scope of public welfare activities、Original fund amount、基金来源渠道等。

申请者为法人或其他组织的须加盖公章并附相应登记管理机关颁发的登记证书复印件，申请者为自然人的须亲笔签名并附居民身份证复印件);3、name(Font size)使用授权书(拟使用自然人姓名、The name or trade name of a legal person or other organization，须经该自然人、法人或其他组织同意)。(two)向业务主管单位申请同意设立的文件。

(three)依法召开理事会通过有关决议。申请者根据拟设立基金会的类型，参照《深圳市公募基金会章程示范文本》或者《深圳市非公募基金会章程示范文本》起草章程。依法召开理事会(理事人数为5到25人)通过章程草案，并从理事中选举产生理事长、Vice Chairman、Secretary General，形成《基金会理事会会议纪要》。(Four)办理验资手续。

凭登记管理机关出具的《深圳市基金会开设银行验资专用账户证明书》，Go to the bank to open a special account for capital verification，Inject original funds，由有资质的会计师事务所出具验资报告。(five)向登记管理机关申请设立登记。申请者办理完成上述程序后，应尽快向登记管理机关申请办理设立登记手续，取得法律主体资格后方可开展活动。

4. "Application Form for Approval of Articles of Association of the Foundation"(This form requires the business supervisory unit to comment on the review opinions and stamp the official seal.);
5. Foundation Charter(According to the type of foundation to be established，Draft with reference to the "Shenzhen Municipal Public Fundraising Foundation's Model Articles of Association" or the "Shenzhen City Non-Public Fundraising Foundation's Model Articles of Association");
6. "Foundation Board Meeting Minutes"(All directors present must sign);
7. Donation certificate from the fund source unit or individual(If the donor is inconsistent with the sponsor，A separate donation agreement needs to be signed between the donor and the sponsor.，Indicate the donation amount and purpose);
8. 有资质的会计师事务所出具的验资报告(6Valid within one month)。
