个人独资企业的概念 个人独资企业是指依照《个人独资企业法》在中国境内设立的，Invested by a natural person，财产为投资人个人所有，投资人以其个人财产对企业的债务承担无限责任的经营实体。

个人独资企业应具备的条件：

1. 投资人为一个自然人;
2. 有合法的企业名称，名称中不得使用“有限”、“有限责任”或“公司”字样;
3. 有投资人申报的出资额;

合伙企业的概念 合伙企业是指依照《中华人民共和国合伙企业法》在中国境内设立的由各合伙人订立合伙协议，共同出资、合伙经营、shared benefits、Shared risk，并对合伙企业债务承担无限连带责任的营利性组织。

合伙企业应具备的条件:

1. 合伙人应为两个以上的自然人;
2. Have a written partnership agreement;
3. 有各合伙人实际缴付的出资;
4. There is a partnership name，名称中不得使用“有限”、"Limited Liability"、Words such as "company";
5. 有经营场所和从事合伙经营的必要条件。

受理审核时限 申请办理个人独资及合伙企业的设立、change、注销登记和备案，凡文件、Complete documents，工商行政管理机关在受理后5个工作日完成核准或核驳手续。 登记注册咨询方式 登录重庆市工商行政管理局、阅读一次性告知单或直接到工商局登记注册咨询窗口咨询。

登记管辖 市工商局登记管辖范围：

1. 出资额在3000万元(Contains)人民币以上的个人独资企业;
2. 从事工商注册代理业务的合伙企业;
3. 专业从事特殊行业经纪业务的个人独资企业及合伙企业;
4. 从事验资、audit、资产评估机构的合伙企业。

区县工商分局登记管辖范围：

1. 市工商局受理范围以外的个人独资企业及合伙企业，由企业注册地所在分局负责登记注册;
2. 个人独资企业及合伙企业的分支机构。

1. sole proprietorship、合伙企业及其分支机构设立登记费300元;
2. 企业变更登记费100元;
3. 补换执照收取

1. "Enterprise Establishment Registration Application Form"(Contains "Enterprise Establishment Registration Application Form"、《投资者名录》、《企业负责人登记表》、"Corporate Domicile Certificate" and other forms);
2. 《名称预先核准申请书》及《企业名称预先核准通知书》;
3. "designation(entrust)Book";
4. 经营范围涉及前置审批项目的，Approval documents from the relevant approval department should be submitted。

特别提请注意：

1. sole proprietorship(partnership)应由投资人(Partner)办理有关手续;
2. 如果委托有资格的登记注册代理机构办理，应提交加盖该代理机构公章的 代理机构《营业执照》复印件、《指派函》、《委托书》。 价格各地有差异，心实际为准
