上海要怎么注销异常公司

最近誉商港信通-遇到很多想要注销公司的客户，大多数的客户觉得长时间的不经营公司，它会自己注销掉的，那这里，港信通-告诉大家，No，它不会自己注销掉，它只会变异常，变异常之后规定期限内仍不处理它会被拉入黑名单，拉入黑名单之后，对股东法人也是有影响的。

one、公司出现异常的理由：

1. 很多公司的注册地址是挂靠的，有时工商会联系公司法人或者是负责人，但是他们要么是手机号换了，要么是态度消极，不愿去监管部门沟通，那么就会导致公司异常；
2. 登记的公司住所联系不到公司，会导致公司注册地址被列入异常经营名录；
3. 被消费者或是同行举报投诉；
4. 没有在6月30日前报送年度报告被列入经营异常名录；
5. 没有在即时信息形成20个工作日内公示、在工商部门责令的期限内仍未公示会被列入公司经营异常名录；
6. 有的公司停止运营了，但是暂时不想注销，每月也报税，但都是零申报，这样的话短期可以，长期的比如
7. 2annual，可能就要被当做僵尸企业清理掉了；
8. 工商会随机对企业进行抽查，If a company conceals information about the true situation、fake，Will be included in the business abnormality list；

two、公司出现异常的后果：

1. 公司因未及时申报列入异常，满3年还不申报，直接拉黑，进入企业黑名单，经营异常的企业在政府采购、Project bidding、State-owned land transfer、The awarding of honorary titles and other aspects will be subject to government restrictions or prohibitions.；
2. 没有在规定期限内向社会公示即时信息的企业会被列入黑名单。

three、申请移除经营异常：

1. 未按规报送年度报告的企业，可以在补报未报年份的年度报告并公示后，申请移除经营异常名录；
2. 未按规定履行即时信息公示义务的企业，申请恢复正常记载状态的，应当先履行其信息公示的义务；
3. 公示信息隐瞒真实情况、弄虚作假的企业更正其公示的信息后，可以想工商行政管理部门申请移出经营异常名录；
4. 企业依法办理住所或者经营场所变更登记，或者提出通过登记的住所或者经营场所可以重新取得联系，可以申请恢复正常记载状态。

1. 工商局先备案；
2. 登报公示公司注销；

five、注销公司相关流程手续：A.成立清算组

1. 公司解散事由之日起15日内成立清算组，Start liquidation；

B.去工商注销前的准备工作1.到国税拿表格：According to national tax

Require

fill in、signature、stamp、Pay off invoice、After tax payment，It will take back the national tax registration certificate，Give you a notice of cancellation of tax registration from the national tax；

1. Hold the tax registration cancellation notice from the national tax，Go to the local tax office to get the form，After tax payment，It will take back the local tax registration certificate，Give you a local tax cancellation tax registration notice；
2. Holding two notices，Cancel bank account；
3. Take the notice and go to the Industrial and Commercial Bureau to get the form，然后交回，Then revoke the business license。

C.要向登记机关提交的文件：

1. Deregistration application form signed by the person in charge of the company’s liquidation organization；
2. "Application for Cancellation of Company Registration" signed by the company's legal representative；
