设立一家非公募基金会，根据《基金会管理条例》，需要双重管理：不仅需要到民政部进行登记（实为审批），还需要挂靠一家慈善领域相关的“业务主管单位”（一般为机关和党政部门，业界称之为“婆婆”）。
由于找不到可以挂靠的业务主管单位，一些民间慈善组织无奈采取公司的形式，以营利组织的形式从事慈善活动，但在财务和税务上成本很高。
设立基金会，应当具备下列条件：
- 为特定的公益目的而设立；
- 全国性公募基金会的原始基金不低于800万元人民币，地方性公募基金会的原始基金不低于400万元人民币，非公募基金会的原始基金不低于200万元人民币；原始基金必须为到账货币资金；
- 有规范的名称、Charter、组织机构以及与其开展活动相适应的专职工作人员；
- 有固定的住所；
- 能够独立承担民事责任。
