企业集团设立登记

企业集团设立登记来源：深圳市市场监督管理局事项内容企业集团设立。法律依据企业集团登记管理暂行规定深圳经济特区商事登记若干规定《企业集团登记管理暂行规定》（1998年4月6日国家工商行政管理局工商企字[1998]第59号文件印发）第二条。

condition

1. The registered capital of the parent company of the enterprise group is more than 15 million yuan，and have at least 3 subsidiaries；
2. The total registered capital of the company and its subsidiaries is more than RMB 30 million；
3. All group members have legal personality；
4. National pilot enterprise groups should also meet the conditions for pilot enterprise groups determined by the State Council。数量及方式无数量限制，符合条件者即予许可。许可方式为直接申请。

Application materials

1. "Application for Registration of Enterprise Group Establishment" signed by the legal representative of the parent company (1 original copy)；
2. Proof of identity of the person in charge (1 copy，(check the original)；
3. Group parent company、Group Articles of Association with the official seal of the subsidiary (1 original copy)；
4. Group members apply to join the group、Documents recognizing the group’s articles of association (one original copy each)；
5. Business licenses of group members (1 copy each)，Mark "consistent with the original" and stamped with the official seal of the parent company)；
6. Proof of shareholding of the parent company in the subsidiary (certificate issued by the subsidiary registration authority or a copy of the state-owned assets property rights registration or capital verification report) (1 copy of each)，(Please check the original) (note：可由我局通过监察局共享系统查验的，No need to submit；Otherwise, paper documents need to be submitted)；
7. Pilot enterprise groups approved by the State Council must submit relevant approval documents (1 original copy) (Note：可由我局通过监察局共享系统查验的，No need to submit；Otherwise, paper documents need to be submitted)。

申请受理机关深圳市市场监督管理局证件名称及有效期限《企业集团登记证》。根据申请人申请确定；申请人未申请的，无期限限制；law、regulations、规章或批准文件、许可证件对期限有规定的，According to its provisions。决定机关深圳市市场监督管理局事项程序

1. Accept application materials；

3. 核准登记；
4. 颁发企业集团登记证。

1. 登记机关应当根据下列情况分别作出是否受理的决定：

Require

提交全部补正申请文件、材料的，应当决定予以受理。

1. Application documents、Complete materials，comply with legal form，但登记机关认为申请文件、材料需要核实的，应当决定予以受理，同时书面告知申请人需要核实的事项、理由以及时间。
2. Application documents、材料存在可以当场更正的错误的，应当允许申请人当场予以更正，由申请人在更正处签名或者盖章，注明更正日期；经确认申请文件、Complete materials，comply with legal form，应当决定予以受理。
3. Application documents、Materials are incomplete or do not comply with legal forms，应当当场或者在5日内一次告知申请人需要补正的全部内容；当场告知时，应当将申请文件、材料退回申请人；属于5日内告知的，应当收取申请文件、材料并出具收到申请文件、材料的凭据，逾期不告知的自收到申请文件、材料之日起即为受理。
4. 不属于登记范畴或者不属于本机关登记管辖范围的事项，应当即时决定不予受理，and inform the applicant to apply to the relevant administrative agency。登记机关对通过信函、电报、电传、fax、电子数据交换和电子邮件等方式提出申请的，应当自收到申请文件、材料之日起5日内作出是否受理的决定。
5. 登记机关对决定予以受理的登记申请，应当分别情况在规定的期限内作出是否准予登记的决定：
6. 对申请人到登记机关提出的申请予以受理的，应当当场作出准予登记的决定。
7. 对申请人通过信函方式提交的申请予以受理的，应当自受理之日起15日内作出准予登记的决定。
8. 通过电报、电传、fax、电子数据交换和电子邮件等方式提交申请的，申请人应当自收到《受理通知书》之日起15日内，提交与电报、电传、fax、电子数据交换和电子邮件等内容一致并符合法定形式的申请文件、材料原件；申请人到登记机关提交申请文件、材料原件的，应当当场作出准予登记的决定；申请人通过信函方式提交申请文件、材料原件的，应当自受理之日起15日内作出准予登记的决定。
9. 登记机关自发出《受理通知书》之日起60日内，未收到申请文件、材料原件，或者申请文件、材料原件与登记机关所受理的申请文件、材料不一致的，应当作出不予登记的决定。登记机关需要对申请文件、Material verified，应当自受理之日起15日内作出是否准予登记的决定。
