2. 业务经营方式不规范，被依法责令关闭，这时就可以申请注销。
3. 不正常注销公司会被列入工商黑名单，如果严重违法经营，或六个月以上不经营，或者因为连续三年没有年报等行为被列入“严重违法失信企业”，会进入工商黑名单，作为法定代表人，三年都不能当老板
4. 进入税务黑名单，公司不经营也不报税，没有正常注销的，有“重大税收违法案件”的，全都会进入税务部门的黑名单。
5. 禁止高消费，包括不能乘坐飞机和高铁，甚至限制出境。
6. 不能购买社保，其实不仅是法人不能购买社保，甚至不能办理贷款和移民，连子女出国留学都会受到限制。
7. 去税务局，自公司宣告终止之日起15日内，需向原税务登记机关申报办理注销税务登记。
8. 注销登报公示，在当地工商局认可的报纸进行登报，内资企业只需登报一次，外资企业需要登报三次。
9. 到工商局注销营业执照，登报公示45天之内无人有异议，就可以去工商局办理营业执照注销了，还要到开户行注销银行账户。
