也可以注销，但是需要满足一定的条件。公司法第四十三条规定：股东会的议事方式和表决程序，Except as provided in this law，由公司章程规定。股东会会议作出修改公司章程、Resolution to increase or decrease registered capital，and corporate mergers、separate、Resolution on dissolution or change of company form，必-须经代表三分之二以上表决权的股东通过。
第一百零三条股东出席股东大会会议，所持每一股份有一表决权。but，公司持有的本公司股份没有表决权。股东大会作出决议，必-须经出席会议的股东所持表决权过半数通过。

“非正常户注销”和“注销”的区别：非正常户注销状态是已经注销了，还是正在注销中？
