国有独资公司减资由国有授权投资的机构或者国家授权的部门作出决定。减资决议或决定的内容 (1)减资后的公司注册资本 (2)减资后的股东利益、债权人利益的安排 (3)有关修改章程的事项 (4)股东出资及其比例的变化等。公司作出减资决议或决定时，应注意公司减少资本后的注册资本不得低于法定的最低限额。
