！（干货收藏） 是每一个创业公司在发展道路上都会碰到的事情。股权转让中涉及到的许多法律问题曾经难倒不少创业者。 公司股权变更（股权转让）应提交什么材料？
需提交下列材料：
- 法定代表人签署的《公司变更（备案）登记申请书》；
- 企业申请登记委托书原件（可在申请书内填写）；
- Proof of identity of the person in charge(a copy，Verify original)；Represented by a business registration agency，Submit the business license of the enterprise registration agency at the same time(a copy，Must be stamped with the company seal，and indicate "consistent with the original")；
- 根据公司章程的规定和程序提交的决议或决定（原件）；
- 向原股东以外的人转让的，提交新股东的主体资格证明；
- 公司章程修正案或新的公司章程（法定代表人签署）；
- 股权转让协议（原件1份，涉及国有产权的,提交国务院、Approval document from the local people's government or the state-owned assets supervision and administration agency of the people's government at the same level authorized by it；不涉及国有产权股权转让的，股权转让协议应当办理公证或见证<本款属于深圳的地方规定>)；
- 股东的资格证明复印件（核对原件）；
- 企业法人营业执照正本、Copy of original；
- law、行政法规及国务院决定规定变更股权必须报经审批的，Submit approval documents from relevant departments。
Equity Transfer Agreement，有没有指定的公证处？外地的公证处可否办理？ 没有指定的公证处，外地的公证处也可以办理。 股东可否无偿转让股权？ 可以，股权转让价格由双方协商。 公司需增加一个股东应办理什么事项的变更？
分两种情况： 一是增加股东同时增加注册资本的，应申请办理注册资本变更登记； 二是通过股权转让的方式增加股东的，应申请办理股权变更登记。
