东莞境外投资备案申请流程与费用

境外投资备案（ODI）是一个双向的通道！

2. 商务部境外投资管理办法办理依据《境外投资管理办法》（商务部令2014年第3号）适用对象企业通过新设、Owning non-financial enterprises overseas or acquiring ownership of existing non-financial enterprises through mergers, acquisitions and other means、control、Management rights and other rights and interests。

境外投资备案申请材料

1. 商务委a. 国内公司营业执照；b. 国内公司海外投资的必要性说明；c. 国内公司海外投资的简单说明；d. 国内公司的业务说明；e. 国内公司的股权架构；f. 指定联系人，supply、Mail、Address, etc.；
2. 发改委a. 追溯到实际控制人的股权架构；b. 国内公司上一年度的审计报告；c. 国内公司银行存款证明；d. 海外公司章程和中文翻译件；
3. 境外投资尽调报告编写服务通过新设、Owning non-financial enterprises overseas or acquiring ownership of existing non-financial enterprises through mergers, acquisitions and other means、control、Management rights and other rights and interests，企业需提供该标的企业的相关资料。
