村镇银行设立条件村镇银行是由境内外金融机构、境内非金融机构企业法人、境内自然人出资在农村地区设立的，主要为当地农民、农业和农村经济发展提供金融服务的银行业金融机构，依照《中华人民共和国司法》可自主选择有限责任公司或股份有限公司的组织形式。

其设立的条件有：

4. 要有符合任职资格条件的董事和高级管理人员；
5. 有具备相应专业知识和从业经验的人员；

申请筹建的主要工作

1. 确定组建地点。主要发起人(banking financial institutions)根据银监局发布的需要设立机构的地域名单选择组建地点，进行考察论证，并与拟设地银监局沟通后，开展筹建准备工作。需要设立机构的地域名单依据省内县域金融服务充分性状况确定，重点解决服务空白和竞争不充分问题。
2. 履行法律手续。

全体发起人(investor)按照《中华人民共和国公司法》规定，签订发起人(investor)Agreement，确定拟组建村镇银行的组织形式、出资方式和股本结构，明确发起人(investor)的权利和义务。召开发起人大会(出资人会议)，按照法定程序审议通过同意出资设立村镇银行、成立筹建工作小组并授权筹建工作小组履行组建工作职责的有关决议。



1. 制定筹建方案。筹建工作小组应对拟设村镇银行进行充分论证和可行性分析，制定筹建工作方案。
2. 预先核准名称。筹建工作小组应向有名称核准管辖权的工商行政管理部门提交企业名称预先核准申请书。
3. 申请筹建。在各项筹建准备工作完成后，筹建工作小组向银监局提出筹建申请。
