且有以下六种情况，不能办理简易注销：
- 依法被吊销、被列入严重违法企业名单或者被载入经营异常名录尚未移出的；
- 企业股权（投资权益）已被冻结或者已出质登记的；
- 违反企业登记管理法规被立案查处，或者涉及其他重大案件的；
- 司法机关等有关部门限制办理企业注销或者依法由司法机关等相关部门组织清算的；
- 企业进入行政复议、诉讼或者仲裁程序的。
- 商事登记机关认为不应适用简易注销登记的其他情形。
深圳公司注销的流程：清缴税控及发票：纳税人携带《发票领购簿》和未使用完毕的空白发票，连同填妥的《发票缴销登记表》，办理缴销发票手续;对各类需要验旧供新的发票，纳税人必须携带验旧发票进行验旧；破产企业，提供《企业破产清算裁定书》在缴销发票、清缴税款、缴销防伪税控系统设备后，申请办理注销税务登记，不再进行清税检查;Cancel national tax、local tax：如果自己的公司不运营了，Then you need to go to the tax registration authority where the company was originally registered to handle tax cancellation within 15 days after your company announces that it will cease operations.。

根据《国务院关于国家行政机关和企事业单位社会团体印章管理的规定》第二十四条规定：“国家行政机关和企业事业单位、社会团体的印章，如因单位撤销、名称改变或换用新印章而停止使用时，应及时送交印章制发机关封存或销毁，或者按公安部会同有关部门另行制定的规定处理。”
