- 公司股东恶意处置公司资产造成损失，应承担相应赔偿责任。
- 公司股东以虚假清算报告骗取注销登记，应承担相应赔偿责任。
- 公司未经清算即注销，导致无法清算的，股东应对公司Z务承担清偿责任。
- 公司未正常清算，股东或第三人在办理注销登记时签署承诺对公司Z务承担责任的，Z权人可主张股东或第三人清偿Z务。
