：1.根据《证券投资基金法》规定，基金管理人由依法设立的公司或者合伙企业担任。

自然人不能登记为私募基金管理人;2.注册资金要1000万以上，Paid;3.至少有三名高级管理人员具备私募基金从业资格;4.申请机构具备满足业务运营需要的场所、设施和基本管理制度;5.基金协会认定的其他情形。

私募基金管理人登记材料：根据《证券投资基金法》、《私募投资基金监督管理暂行办法》，私募基金管理人在中国证券投资基金业协会进行登记后方可开展私募基金业务。

私募基金管理人备案申请需提供以下基本信息和资料：1.企业基本信息；2.股东或合伙人基本信息；3.高级管理人员及其他从业人员的基本信息；4.注册资本金实缴；5.经营场所证明文件。
