Registration process

1.Company name pre-approval notice;2.Power of attorney;3.Application form for registration of establishment of foreign-invested enterprise(Two original copies);4.Project application report(Attached is an outline for reference.，It must be signed by the legal representative or an agent holding a power of attorney.);5.Articles of Association(It must be signed by the legal representative of the investment method or an agent holding a power of attorney.);6.List of board members;7.Letter of appointment of legal representative and board members(Attached are copies of valid and legal passports or identity documents of the legal representative and board members.);8.Letter of appointment of legal representative(Submit this item without a board of directors，Attach a copy of the legal representative’s valid passport or ID card);9.Copy of investor’s legal business opening certificate，A letter proving the legal representative is required(Original)and a copy of their identity certificate;If the foreign investor is a natural person, a copy of his/her identity certificate is required.，Taiwanese merchants need to provide a copy of the Taiwan Compatriot Certificate;10.Credit certificate issued by the bank where the investor opens an account;11.Applicants are required to hold an investment plan in advance for the approval opinions of the environmental protection department.、Site or land use certificate、Please submit the power of attorney and application form to the Environmental Protection Bureau to apply for approval.，However, this approval cannot replace the "Environmental Impact Assessment Report" that a new company must complete after obtaining a business license.(The new company invites a specialized evaluation company to tailor the evaluation according to the project.);12.Enterprise site implementation certificate or factory lease contract(Proof of property ownership of the lessor is required、Copy of business license and legal representative’s identity certificate);13.涉及照前行业许可的其它有关文件证件。

注册外资公司流程材料一、外商投资者资质1、外国公司、企业和其他经济组织或个人;2、中国的公司、企业或其他经济组织。two、外资公司审批程序(one)审批权限1、投资总额在1亿美元以上或国家有专项审批规定的外商投资项目由深圳市发展和改革委员会或深圳市商务委初审后转报国家发改委和商务部审批。

2、投资总额1亿美元以下鼓励类、允许类及5000万美元以下限制类的外商投资项目由深圳市商务委审批。

3、投资总额在3000万美元以下(不含限制类)注册在浦东新区、外高桥保税区、张江高科技园区、金桥出口加工区、临港新城的外商投资项目，分别由浦东新区人民政府、外高桥保税区管委会、张江高科技园区领导小组办公室、金桥出口加工区管委会和临港新城管理委员会审批。

4、投资总额在3000万美元以下的鼓励类或投资总额在1000万美元以下的允许类外商投资项目和位于市级工业区内，属于鼓励类、允许类且投资总额3000万美元以下的外商投资项目，由所在区、县人民政府审批。

(two)审批程序1、投资者根据投资总额和项目性质向深圳市商务委或各区、县人民政府、管委会(以下简称审批机关)报送有关申请文件;2、审批机关按照审批权限和外商投资产业导向进行审批，颁发《外商投资企业批准证书》;3、凭审批机关设立批复和《外商投资企业批准证书》向工商行政管理部门办理注册登记手续。

three、外资公司申报文件(one)外商投资企业的设立1、设立外商投资企业的申请书;2、投资各方共同编制的可行性研究报告;3、由投资各方法人代表签署的外商投资企业合同和章程(独资企业只需报送章程);4、由投资各方委派的外商投资企业董事长、副董事长、董事人选名单及委派书;5、经公证和依法认证的投资者身份证明文件或注册登记证明及资信证明文件、法人代表证明文件(a copy);6、企业名称预先核准通知书(a copy);7、法律文件送达授权委托书;8、公司注册地使用许可证明或租赁协议、出租方产权证明;9、城市规划部门出具的《建设项目选址意见书》和《建设用地规划许可证》;10、环境影响评价备案征询表或批准证明;11、涉及国有资产的项目需提交国有资产评估、备案文件;12、进口设备清单;13、非法定代表人签署文件的，应出具法定代表委托授权书;14、审批机关

(two)外商投资企业合同应当包括下列主要内容：(1)投资各方的名称、注册国家、法定地址和法定代表人的姓名、职务、国籍;(2)外商投资企业名称、总额、Registered capital，投资各方的出资额、出资比例、出资方式、出资的缴付期限以及出资额欠缴罚则、股权转让的规定;(4)投资各方利润分配和亏损分担比例;(5)外商投资企业董事会的组成、董事名额的分配以及总、副总及其他高级管理人员的职责、权限和聘用办法;(6)采用的主要生产设备、生产技术及其来源;(7)原材料购买和产品销售方式;(8)finance、Accounting、审计的处理原则;(9)有关劳动管理、salary、福利、劳动保险等事项的规定;(10)外商投资企业的期限、解散及清算程序;(11)违反合同的责任;(12)解决投资各方之间争议的方式和程序;(13)合同文本采用的文字和合同生效的条件。

(three)外商投资企业章程应当包括下列主要内容：(1)外商投资企业名称及法定地址;(2)外商投资企业的宗旨、经营范围和期限;(3)投资各方的名称、注册国家、法定地址、法定代表人的姓名、职务、国籍;(4)外商投资企业的投资总额、Registered capital，投资各方的出资额、出资比例、股权转让的规定，利润分配和亏损分担的比例;(5)董事会的组成、职权和议事规则，董事的任期，Chairman、副董事长的职责;(6)管理机构的设置，办事规则，总、副总及其他高级管理人员的职责和任免方法;(7)finance、Accounting、审计制度的原则;(8)设立工会;(9)解散和清算;(10)章程修改的程序。
