Registration process
- 制定公司章程，选取经营场所，建立组织机构。
- 向工商管理部门申请公司名称预先核准。
- 向工商部门办理有关许可证。
- 股东将出资额存入在定点入资银行开设的“注册验资临时账户”银行向会计师事务所或审计事务所提供资金情况证明
- 会计事务所或审计事务所出具验资报告。
- 向工商行政部门报关有关申报材料。
- 领取营业执照。
- 向技术监督部门办理组织机构代码证。
- 到税务部门办理税务登记手续。
- 在银行开立基本结算账户。
- 开业。
设立内资企业所需文件：
- 申请企业法人(非公司)开业登记应提交：(1)企业法人申请开业登记申请书(2)企业法人章程(3)企业国有资产产权登记表，集体所有制企业提交验资报告(4)主管部门或审批机关的批准文件(5)注册地址使用证明，包括住所租赁使用证明、住所产权归属证明(6)法定代表人任职文件(7)法定代表人履历表及身份证复印件(8)企业名称预先核准通知书(9)law、法规、规章规定必须审批的有关批文
- 申请有限责任公司开业登记应提交(含私营有限公司)(1)公司名称预先核准通知书(2)公司设立登记申请书(3)公司股东名录及身份证明(法人企业股东提交加盖本企业公章的营业执照复印件;自然人股东提交身份证复印件;社团法人提交社团登记证复印件;事业法人提交事业法人证复印件。
(4)验资证明，用固定资产投资的还需提交固定资产评估报告(5)Articles of Association(6)company director、、监事成员名单(7)股东第一次会议、董事会或执行董事(不设董事会的)第一次会议决议;监事会或执行监事第一次会议决议(8)公司法定代表人履历表及身份证复印件(9)注册地址证明，包括住所租赁使用证明和房屋产权归属证明委托代理人证明法律、法规、规章规定必须审批的有关批文
