根据《人力资源和社会保障局》第19号令的规定，劳务派遣公司设立子公司经营劳务派遣相关业务，需向各省各地的人力资源和社会保障许可机构进行申请行政许可并备案，而劳务派遣分公司申请许可证时需要准备以下材料：
- 分公司的法定代表人身份证复印件，复印件上必须有分公司的签名和日期。
- 总公司的经营许可复印件，复印件上必须有总公司的公章。
- 分公司的经营执照的复印件或是《企业名称预先核准通知书》的复印件。
- 分公司需提交分公司的办公场所的房产证复印件或是租赁合同的复印件。
- 为维护劳务工的自身利益权，劳务派遣公司需拟一份与劳务工签订的劳动合同和与用人企业签订的劳务派遣合同。
（合同上必须有劳务工的用工时间、休息时间、劳动报酬和缴费社会保险等情况）6、与总公司相符的公司章程。将材料准备齐全后，分公司有两种申请办理许可证的办法，服务种是将资料提交给许可机构进行申请办理，但由于许可机构需对资料进行初审、审核和核实等过程，所以办理的流程繁琐且时间长久。
