深圳境外投资备案全流程干货

商务部和省级商务主管部门按照企业境外投资的不同情形，分别实行备案和核准管理。企业境外投资涉及敏感国家和地区、敏感行业的，实行核准管理。企业其他情形的境外投资，实行备案管理。

one、办理依据《境外投资管理办法》（商务部令2014年第3号）二、受理机构商务部网站“对外合作信息服务系统”提交电子申请材料，同时将纸质文件提交至商务部或地方商务主管部门行政大厅。three、决定机构中央企业由商务部对外投资和经济合作司备案，地方企业由地方商务主管部门备案四、申请材料

1. 境外投资备案表。
2. 企业营业执照复印件（加盖公章）。
3. 对外投资设立企业或并购的相关章程（合同、协议）。
4. 相关的董事会决议或出资决议。
5. 前期工作落实情况说明（包括：due diligence、可研报告、投资资金来源情况的说明、投资环境分析评价等）。
6. 并购类对外投资需提交《境外并购事项前期报告表》。
7. 境外投资真实性承诺书。

five、办理时限

1. 核准：25个工作日
2. 备案：20个工作日面对复杂严峻的经济形势，全省商务、口岸和自贸系统认真贯彻落实省委、省政府的决策部署，扎实推进各项工作，全省商务发展总体平稳。
