需要具备的条件如下：

1. 有符合《基金法》和《公司法》规定的章程；
2. 注册资本不低于1亿元人民币，and must be paid-in monetary capital；
3. 主要股东应当具有经营金融业务或者管理金融机构的良好业绩、良好的财务状况和社会信誉，资产规模达到国务院规定的标准，最近3年没有违法记录；（基金管理公司主要股东是指持有基金公司股权比例最高且不低于25％的股东。

基金公司主要股东为法人或者其他组织的，净资产不低于2亿元人民币；主要股东为自然人的，个人金融资产不低于3000万元人民币，在境内外资产管理行业从业10年以上）

1. 对基金公司持有5％以上股权的非主要股东，非主要股东为法人或者其他组织的，净资产不低于5000万元人民币，资产质量良好，内部监控制度完善；非主要股东为自然人的，个人金融资产不低于1000万元人民币，在境内外资产管理行业从业5年以上；
2. 取得基金从业资格的人员达到法定人数。

设立基金公司拟任高级管理人员、业务人员不少于15人，并应当取得基金从业资格；
