1. 拟任法定代表人签署的《外商投资的公司设立登记申请书》；
2. 经办人身份证明(复印件1份，核对原件)；
3. 企业申请登记委托书(原件1份)；
4. 审批机关的批准文件（原件1份）及批准证书副本(1)（原件1份）；
5. 审批机关批准的章程（原件1份）；
6. 《企业名称预先核准通知书》（原件1份）；
7. 投资者主体资格证明或自然人身份证明（复印件1份）；
8. 法律文件送达授权委托书（原件1份）（在本表内填写）及被授权人的主体资格证明或自然人身份证明（复印件1份）；
9. 法定代表人、董事会成员、监事及经理的任职文件（原件1份）及其身份证明（复印件1份）；
10. 公司住所使用证明；
11. 设立股份有限公司还应提交以下材料：

13. 股东首次出资是非货币财产的，应当提交已办理其财产权转移手续的证明文件（原件1份）
14. 募集方式设立并公开发行股票的股份有限公司还应提交国务院证券管理部门的批准文件（原件1份）
