one、境内主板上市

Require

1. 发行人是依法设立且持续经营3年以上的股份有限公司；
2. 发行人近3年内主营业务和董事、高级管理人员没有发生重大变化，实际控制人没有发生变更；
3. 发行人财务状况良好：①近3个会计年度净利润均为正数且累计超过RMB3000万元，净利润以扣除非经常性损益前后较低者为计算依据；②近3个会计年度经营活动产生的现金流量净额累计超过RMB5000万元，或近3个会计年度营业收入累计超过RMB3亿元；③发行前股本总额不少于RMB3000万元；④最近一期期末无形资产占净资产的比例不高于20%；⑤最近一期期末不存在未弥补亏损。

two、创业板上市

Require

1. 发行人是依法设立且持续经营3年以上的股份有限公司；
2. 近2年连续盈利，近2年净利润累计不少于1000万元；或近1年盈利，近1年营业收入不少于5000万元。

净利润以扣除非经常性损益前后孰低者为计算依据；

1. 近一期期末净资产不少于2000万元，且不存在未弥补亏损；
