基金销售机构必备条件

基金销售机构必备条件 投资基金销售机构相关规定私募基金管理人、在中国证监会注册取得基金销售业务资格的机构（以下统称募集机构）及其从业人员以非公开方式向投资者募集资金的行为适用本办法。

在中国证券投资基金业协会（以下简称中国基金业协会）办理私募基金管理人登记的机构，在中国证监会注册取得基金销售业务资格且成为中国基金业协会会员的机构（以下简称基金销售机构）可以从事私募基金的募集活动，其他任何机构和个人不得从事私募基金的募集活动。

本办法所称募集行为包含推介私募基金，发售基金份额（权益），办理基金份额（权益）认/申购（认缴）、赎回（退出）等活动。 成立基金销售机构必备条件如下：

1. A limited liability company established in accordance with the law、Partnership or other forms that comply with the provisions of the China Securities Regulatory Commission。
2. 有符合规定的组织名称、组织机构和经营范围。
3. Registered capital or capital contribution shall not be less than RMB 20 million，and must be paid-in monetary capital。
4. There are no major changes that have affected or may affect the normal operation of the organization.，or lawsuit、Arbitration and other major matters。
5. Senior managers have obtained fund practitioner qualifications，Familiar with fund sales business，并具备从事基金业务3年以上或者在其他金融相关机构5-10年以上的工作经历。
6. There should be no less than 10 persons who have obtained fund professional qualifications。 合格投资者的认定标准 目前证监会正在制定合格投资者认定标准。

在证监会有关规定出台之前，协会建议私募基金管理人向符合以下条件的投资者募集资金：

1. 个人投资者的金融资产不低于500万元人民币，机构投资者的净资产不低于1000万元人民币；
2. 具备相应的风险识别能力和风险承担能力；
3. 投资于单只私募基金的金额不低于100万元人民币。
