公司注销流程

1. 公司被依法宣告破产;
2. 公司章程规定营业期限届满或者其他解散事由出现;
3. 公司因合并、分立解散;
4. 公司被依法责令关闭，可申请注销第一步注销公司国、地税登记证所需资料:
5. 国地税正副本
6. 本年度汇算清缴报告
7. 注销报告
8. 填写税务注销表格(如果有未用完发票要先核销)[1]第二步到公司主管工商局办理<公司注销备案>所需资料:
9. 公司营业执照复印件
10. 公司股东会决议(内容就是注销公司，成立清算小组)
11. 公司原始档案
12. 到工商局领取表格(第一步和第二步可以同时办理)第三步登报公告(登报45日后再去注销公司)所需资料：

14. 法定代表人身份证复印件
