one、《公司法》 第一百八十条 公司因下列原因解散：
- 公司章程规定的营业期限届满或者公司章程规定的其他解散事由出现；
- 股东会或者股东大会决议解散；
- 因公司合并或者分立需要解散；
- 依法被吊销营业执照、责令关闭或者被撤销；
- 人民法院依照本法第一百八十二条的规定予以解散。
two、根据《公司法》规定，公司被吊销营业执照后，禁止从事一切经营活动。被吊销营业执照是工商机关根据行政法规对违法的企业法人做出的一种行政处罚措施，企业被吊销营业执照后主体资格仍在，只有经过注销之后，公司法律人格才归于消灭。
three、公司被吊销营业执照后虽然不能从事经营活动，但股权转让的行为，并非前述意义上的经营活动。我国现行法律也并未规定被吊销营业执照的公司不能进行股权变更。根据法无禁止即允许之法理，公司被吊销营业执照后仍可进行股权转让行为，亦有权以自己的名义进行诉讼活动。
