分公司经营范围不能超出总公司经营范围。其他区别，分公司没有自己独立的财产，也不具有法人资格。两者最大区别是在税务上，分公司一般可以选择独立核算和非独立核算。
- 非独立核算不能单独开立基本账户，不能单独领用发票，要在总公司下设单独账户，统一纳税。
- 独立核算能单独开立基本账户，能单独领用发票但也要单缴纳税金（包括企业所得税）。如果是非独立核算，员工工资和社保都是由总公司缴纳，因为一般核算计算这些账务和业务还是由总公司进行结算的。独立核算的异地分公司想为企业员工办理异地社保，还需要去所在地区社保部门注册才行。
