设立保险代理机构，应当具备下列条件：(one)注册资本或者出资达到本规定的最低金额; (two)公司章程或者合伙协议符合法律规定; (三)高级管理人员符合本规定的任职资格条件; (四)持有《保险代理从业人员资格证书》(以下简称《资格证书》)的员工人数在2人以上，并不得低于员工总数的二分之一; (五)具备健全的组织机构和管理制度; (六)有固定的、与业务规模相适应的住所或者经营场所; (七)有与开展业务相适应的计算机软硬件设施; (八)至少取得一家保险公司出具的委托代理意向书。
