：

1. 符合“境外投资”定义：境外投资指的是，在中华人民共和国境内依法设立的企业，通过新设、并购及其他方式在境外拥有非金融企业或取得既有非金融企业所有权、控制权、经营管理权及其他权益的行为；
2. 主体和成立时间

：在中华人民共和国境内依法设立的企业均可申报境外投资。

但是成立时间不满一年的企业，无法提供完整的经审计的财务报表的，一般无法通过审批部门的核准或备案；3、Shareholder background、Source of funds、投资真实性

Require

：无法具体说明境内股东或合伙人背景、资金来源（例如：自有资金、银行贷款、以募集资金等合规方式获取的资金）以及境外投资项目真实性的，很难通过审查；4、近期被关注的六个境外投资类型：大额非主业投资、合伙企业对外投资、境外上市中资企业退市等类型以及房地产、娱乐业、体育俱乐部等领域的投资，受到主管部门严格审核。

对未设立境外平台公司、直接在终目的地投资的，《证书》中境外企业的名称与投资路径的境外企业名称一致；对通过设立境外平台公司再到终目的地投资设立企业的，平台公司将作为境外投资路径显示，名称与境外企业名称不同。
